Terms and Conditions

1. General Provisions

These Terms and Conditions ("T&C") govern your use of the REACTOR platform ("Service") provided by CERB-Group ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these T&C.

2. Definitions

• Service: The REACTOR industrial project management SaaS platform and all related features, tools, and services.
• Customer: The organization or person that subscribes to, purchases, or administers the Service.
• User: Any individual or entity that accesses or uses the Service, including users invited by a Customer.
• Account: A user account created to access the Service.
• Content: Any data, information, text, files, or materials uploaded, stored, or transmitted through the Service.

3. Service Description

REACTOR is a comprehensive industrial project management platform that includes:

• Project management and planning tools
• Health, Safety, and Environment (HSE) management
• Procurement and supply chain management
• Analytics and reporting
• Document management and collaboration
• Integration with third-party services

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you administer an organization, you are responsible for controlling user access and keeping your users within these terms. You agree to:

• Provide accurate and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access or use
• Accept responsibility for all activities under your account
• Ensure that users you invite have authority to use the Service and handle uploaded data

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit, store, or process illegal, harmful, or offensive content
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems to access the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in a way that would cause us, our suppliers, or other customers to breach applicable law, security requirements, sanctions, or export controls

6. Intellectual Property

The Service, including its software, design, content, and documentation, is protected by intellectual property laws. All rights, title, and interest in the Service remain with CERB-Group and its licensors.

7. User Content

You retain ownership of all content you upload to the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, process, transmit, back up, secure, and display your content only as necessary to provide, support, protect, and improve the Service, comply with law, and follow your documented instructions where we act as processor.

8. Third-Party Services and Integrations

The Service may rely on hosting, authentication, email, storage, analytics, payment, or other third-party services. Third-party integrations that you enable may be governed by their own terms and privacy notices. You are responsible for confirming that any third-party service you connect is appropriate for your data and users.

9. Subscription and Payment

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

10. Service Availability

We aim to operate the Service reliably, but no public uptime commitment, service credit, or recovery-time guarantee applies unless it is included in a signed order, service level agreement, or enterprise contract. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practical.

11. Suspension

We may suspend access where reasonably necessary to prevent unauthorized access, protect confidentiality, integrity, availability, or resilience of the Service, address non-payment, respond to unlawful use, or comply with legal obligations. We will use reasonable efforts to limit suspension to the affected account, organization, feature, or data where practical.

12. Confidentiality

Each party must protect non-public information received from the other party using reasonable care and may use it only for the business relationship, the Service, support, security, legal compliance, and enforcement of these terms. Required legal disclosures are allowed where legally required, and notice will be provided where permitted.

13. Limitation of Liability

To the maximum extent permitted by law, CERB-Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

14. Governing Law

These T&C are governed by the laws of Belgium. Any disputes shall be resolved in the competent courts of Belgium.
